Terms of Service
These Terms are an agreement between Chista LLC (“Chista,” “we,” “us,” “our”) and the business that uses our service (“you,” “your”). Please read them carefully.

1. Acceptance and eligibility
By creating an account, accessing our website, or using the Chista service, you agree to these Terms. If you do not agree, do not use the service.
You may use Chista only if you are at least 18 years old and are acting for a business, and only if you have authority to enter into these Terms on behalf of that business. Chista is a business tool; it is not intended for personal or household use.
2. Accounts and security
- You must register with accurate, current information and keep it up to date.
- We may require you to verify your email address before you can use the account.
- You are responsible for keeping your credentials confidential and for all activity under your account, including activity by people you authorize.
- Tell us promptly at info@thechista.com if you believe your account has been accessed without authorization.
3. The Chista service
Chista is an AI-assisted marketing content and workflow service for small businesses. It helps you organize your brand details, upload assets, produce branded content packages, review and approve them, and — when you connect and authorize a platform — publish or export them.
The service will change over time. Features may be added, modified, or removed. Some capabilities are in development, in beta, or depend on third-party integrations that are not yet enabled, and those may be unavailable, limited, or discontinued.
4. Your content and brand assets
You keep ownership of everything you provide: logos, photos, videos, documents, offers, brand details, campaign briefs, and other materials (“Customer Content”).
You grant Chista a limited, worldwide, non-exclusive, royalty-free license to host, store, process, reproduce, adapt, modify, and display Customer Content and content generated from it, solely as necessary to provide, secure, support, troubleshoot, and improve the service for you. This license ends when you delete the content or close your account, except for copies retained in routine backups or as required by law.
You represent that you have all rights, permissions, licenses, and releases needed for the Customer Content you upload — including logos and trademarks, photographs, third-party works, personal likenesses, music, offers and pricing claims, and any personal information contained in what you submit.
5. AI-assisted output
Content produced with AI assistance is a draft for your review. You must review, edit as needed, and approve output before using or publishing it. Approval is always yours.
- Output can be inaccurate, incomplete, or unsuitable for your situation.
- Similar or identical output may be generated for other users; we do not guarantee originality or uniqueness.
- We do not guarantee that output is lawful, non-infringing, compliant with any advertising platform's policies, protectable as intellectual property, or effective at producing any business result.
- Chista does not provide legal, tax, accounting, or advertising-compliance advice. Consult qualified professionals for those matters.
The “Ask Chista” assistant on our public website is an automated, AI-generated information tool. Its answers can be incomplete or wrong, they are not advice, and they are not an offer, promise, or binding commitment. Where an answer conflicts with these Terms, the published pricing pages, or your account, those sources control. Do not submit sensitive information to the assistant; see the Privacy Policy for how those messages are handled.
6. Publishing and third-party platforms
Publishing to a social platform works only if you have enabled and authorized that connection, and only after you approve the content. You can always download or export content instead of publishing through Chista.
Third-party platforms are controlled by their operators and governed by their own terms and policies. They may change APIs, reject or remove content, throttle reach, suspend accounts, or experience outages. We cannot guarantee acceptance, reach, timing, or uninterrupted publishing, and we are not responsible for a platform's decisions or downtime.
7. Acceptable use
You agree not to use Chista to do or attempt any of the following:
- Anything unlawful, deceptive, fraudulent, or misleading, including false pricing, fake reviews, or promotions and contests that do not follow applicable rules.
- Infringe intellectual property, publicity, or privacy rights.
- Produce or distribute discriminatory, harassing, hateful, or abusive material.
- Upload malware, or interfere with the security, integrity, or availability of the service.
- Share, sell, or abuse credentials, or access accounts or data that are not yours.
- Scrape, crawl, or bulk-extract the service, or reverse engineer, decompile, or attempt to derive source code or models, except where that restriction is prohibited by law.
- Impersonate any person, business, or platform, or misrepresent your affiliation.
- Upload personal information you are not authorized to provide, or sensitive or regulated content without the required authorization and rights.
Chista's initial launch also excludes regulated and high-risk categories, including medical, legal, financial, and cannabis marketing.
8. Plans, the free post, and billing
Our published plans are monthly:
- Chista Local — $99/month — up to 8 original campaign ideas.
- Chista Growth — $199/month — up to 16 original campaign ideas.
- Chista Pro — $399/month — up to 30 original campaign ideas.
One campaign idea becomes a coordinated Instagram and Facebook post.
No card required for your free post. No automatic enrollment. You are only charged if you choose a plan.
Adding a card to verify your account does not start a paid subscription. No automatic paid subscription begins from the free post alone. A charge requires you to explicitly select a plan and authorize payment.
Payment features are not live yet. When they are enabled, checkout will be handled by a third-party payment processor and the disclosures presented at checkout will control the billing cycle, applicable taxes, renewal, cancellation, and any refund terms. Chista does not request or store raw card numbers in its own forms.
9. Your campaign responsibilities
You are responsible for what you publish. That includes the accuracy of claims, prices, and availability; required disclosures and disclaimers; permissions and releases; contest and sweepstakes rules; accessibility considerations; privacy notices; and compliance with the laws, industry rules, and platform policies that apply to your business.
10. Chista intellectual property
Chista and its licensors own the service, including its software, designs, templates, workflows, documentation, and the Chista name, logo, and other brand assets. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the service for your own business purposes during your subscription or trial. No other rights are granted.
11. Feedback
If you send us ideas, suggestions, or feedback, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use it without restriction or obligation to you. We will not identify you as the source without your permission.
12. Confidentiality
Each party may learn non-public information from the other. We will use reasonable safeguards to protect your non-public business information and use it only to provide the service or as permitted by these Terms or our Privacy Policy. We do not promise formal trade-secret treatment beyond those reasonable safeguards, and neither party is restricted as to information that is public, independently developed, lawfully received from another source, or required to be disclosed by law.
13. Privacy
Our Privacy Policy describes how we handle personal information and is incorporated into these Terms.
14. Suspension, termination, and deletion
You may stop using the service at any time and may request account deletion by writing to info@thechista.com. We may suspend or terminate access if you breach these Terms, if your use creates legal or security risk, or if we discontinue the service. Where reasonable, we will give you notice and an opportunity to export your content.
Sections that by their nature should survive termination will survive, including content licenses already granted, feedback, intellectual property, disclaimers, limitation of liability, indemnification, governing law, and general terms.
15. Third-party services and links
The service may link to or interoperate with third-party websites, platforms, and providers. We do not control them and are not responsible for their content, practices, or availability. Your use of them is governed by their terms.
16. Disclaimers
To the maximum extent permitted by law, the service is provided “as is” and “as available,” without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or secure, or that output will meet your expectations or produce any particular business result.
Nothing in these Terms limits rights that cannot be waived or excluded under applicable law.
17. Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, or loss of goodwill, even if advised of the possibility.
To the maximum extent permitted by law, Chista's total aggregate liability arising out of or relating to the service or these Terms will not exceed the greater of (a) the fees you paid or owe for the service in the 12 months before the event giving rise to the claim, or (b) US $100 if you paid no fees.
Some jurisdictions do not allow certain limitations; in those places these limits apply only to the extent permitted.
18. Indemnification
To the extent permitted by law, you will defend, indemnify, and hold harmless Chista and its officers, employees, and contractors from third-party claims, damages, liabilities, and reasonable costs (including attorneys' fees) arising out of your Customer Content, your campaigns and published material, your unlawful or unauthorized use of the service, or your violation of these Terms or of another party's rights.
19. Governing law and venue
These Terms are governed by the laws applicable to Chista LLC's principal place of business, without regard to conflict-of-laws rules, and the courts serving that location will have exclusive jurisdiction — unless mandatory law in your jurisdiction requires otherwise.
Counsel to confirm: this governing-law and venue sentence should be replaced with the specific state, county, and dispute-resolution mechanism (including whether to add arbitration or a jury-trial waiver) before publication.
20. Changes and general terms
- Changes: we may update these Terms. If changes are material, we will provide reasonable notice. Continued use after the effective date means you accept the updated Terms.
- Assignment: you may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.
- Severability: if a provision is unenforceable, the rest remains in effect.
- Waiver: not enforcing a provision is not a waiver of it.
- Entire agreement: these Terms and the Privacy Policy are the entire agreement between us about the service.
- Electronic communications: you consent to receive notices and account communications electronically.
